Quotes are valid for 30 days from issuance.

Terms

A 50% deposit is required with each purchase order. Purchase orders received without deposits will be held and scheduled for production upon receipt of deposit. Final payment terms will be determined by customer's account status with Seating Resource as well as overall credit history. Purchase orders will be accepted via fax, PDF via e-mail, or can be mailed directly to the factory: SEATING RESOURCE, 968 W. Foothill Blvd., Azusa, CA 91702

Acknowledgements

All purchase orders accepted by Seating Resource will receive a written acknowledgement. It is the customer's responsibility to verify the accuracy of all information pertaining to quantities ordered, style numbers, finishes, pricing, lead times, and terms of payment. Discrepancies in acknowledgements must be responded to in writing within 10 days of receipt of acknowledgement.

Change Orders

All orders are considered custom. However, reasonable changes may be approved if received in writing within 10 days as noted above. Seating Resource reserves the right to review all requested changes and revise pricing and/or lead times if necessary. Should additional charges for materials, labor, etc be required, Seating Resource will immediately notify customer and orders will beheld until all revisions are approved.

Orders are considered non-cancelable once a deposit has been received and production has been scheduled. Once production has begun, no further changes can be considered, and when completed, all orders are considered ready for shipping. Delivery delays beyond the control of Seating Resource once production has been completed are subject to reasonable storage charges.

Freight

Freight charges will be applied to orders as a separate line item based on the zones listed.

Orders are shipped by Seating Resource using a carrier specified by the customer. If no carrier is specified, Seating Resource will choose one.

Deliveries are typically made Monday through Friday 8 AM to 5 PM. Dealer warehouse information, phone number, and contact name must be specified on the purchase order. Direct site deliveries may be requested with no additional freight cost.

ALL DELIVERIES ARE DOCK TO DOCK.

Storage

If a customer is unable to accept an order when manufacturing has been completed and it is ready for shipment, storage may be requested. Acceptance of storage will be at the discretion of Seating Resource. All costs including transportation will be at the customer's expense. Customers will bear all risk of damage or loss during storage.

Freight Damage & Claims

Seating Resource is not liable for any damages to products that occur during transit or storage. The carrier assumes all responsibility upon acceptance of product. It is the customer's responsibility to inspect products upon receipt and file any claims with the carrier. No product should be refused. If products re received damaged, a written exception should be made on the bill of lading and an immediate inspection be requested of the carrier.

Concealed damage must be reported to the carrier within 15 days of receipt. Failure to make claims shall constitute acceptance of the pro cuts and waiver any claims of defects, errors or shortages.

Replacements for product damaged in shipment or storage will be manufactured upon receipt of a purchase order.

All weights and measurements are approximate and subject to change without notice.

Care and Use

Finished wood surfaces should be cleaned with a soft damp cloth, wiping in the direction of the grain. Dry with a soft cloth, wiping in the grain direction. Do not use waxes or furniture polish as these will cause an unsightly film build-up.

Warranty

Seating Resource will repair or replace, at its discretion and without charge to the original purchaser, any seating product or part thereof which fails as the result of defects in material and workmanship, under single shift use and normal care, for five years from date of shipment.

This warranty does not cover misuse or abuse of product, damages caused by contact with tables, desks or other surfaces, or normal wear associated with use of the product.

Natural color changes, variations or movements in lumber or veneer products, exposure to extreme temperature changes and direct sunlight may cause color changes and/or surface damage. These are circumstances beyond the control of Seating Resource and are not warranty issues.

Certain chair styles with exposed wood require construction methods that accent color variations in light and natural stains. These variations are not considered product defects and are not warranty issues.

Damages to stacking chairs caused by stacking/unstacking methods are not controllable by Seating Resource and are not considered warranty issues.

This warranty is the customer's exclusive remedy for product defect and does not apply to damage caused by a carrier, dealer, installer, user modification, or attachments to a product. Seating Resource has the exclusive right to make the final determination of product misuse or abuse.

This warranty excludes fabrics, leathers and any other textiles for wearing quality, color fastness, shrinkage, wrinkling, stretching or dye lot match.

Seating Resource shall not be liable for any consequential or incidental damages or for commercial loss arising from any product defect.

COM Fabrics

All COM fabrics must be shipped to Seating Resource prepaid and clearly marked with pattern name, number and color, customer PO number, and Seating Resource style number to be covered. Please include a swatch of each COM with your purchase order, as Seating Resource will not be responsible for color or dye lot matches. It is the responsibility of the specifier and/or purchasing agent to select fabrics appropriate to the designated use and to provide written instructions with regard to pattern matching, direction of stripes and plaids, railroading, and any other pertinent information related to fabric application. Unless otherwise noted, Seating Resource will cut and apply all fabrics as deemed appropriate. Seating Resource offers no warranty for the performance of COM fabrics with regard to fire retardancy, stain and ozone resistance, durability, seam slippage, crocking, stretching, or any other characteristic related to the fabric's performance. Quoted lead times for all orders do not commence until all COM fabrics have been received.

COM Yardage Specifications

All yardage requirements are based on 54" plain material. Fabrics with a vertical repeat that must be matched, or that are less than 54" wide, require more yardage and the chart below should be used for determining additional COM yardage requirements. Please add the indicated percentage to the yardage to be provided for the order. This guide will accurately cover most COM orders, but there will be instances due to unusual repeats or designs that additional yardages may be required. Seating Resource will not be held responsible for the purchase of any additional COM that may be required.

When specifying a COM fabric 54" wide or less and include a vertical and horizontal repeat, contact the Seating Resource office for additional yardage requirements. Seating Resource will not be held responsible for the purchase of any additional COM that may be required. All COMs will be cut and applied at the discretion of Seating Resource unless special cutting instructions are included in writing with the purchase order. Fabric patterns must be identified as horizontal or vertical application. Seating Resource will not be held responsible for defective fabrics, as all COMs are accepted as first quality goods.

When specifying more than one textile on seating items, such as contrasting fabrics, welts, and contrasting welts, additional yardage may be required due to fabric yield.

Seating Resource is not responsible for any unclaimed COM/COL 30 days after shipment of Seating Resource acknowledgment. It is the responsibility of the dealer to request the return of excess COM/COL on the initial purchase order.

Guest Seating

Stretchers, which enhance product durability in high use public areas, are available on selected Seating Resource exposed wood seating products. Contact your Seating Resource sales representative for information regarding applicable upcharges for the addition of stretchers to chairs that are intended to be used in areas such as restaurants, cafeterias, training centers, hotel/motels, and other applications where chairs would be subject to above normal movement and use.

Finishes

Finishes may vary slightly due to the natural characteristics of the wood. No absolute match is implied or guaranteed.

It is very important the customer understand that inherent natural characteristics of the wood will be apparent in the chair when using a light finish. Natural characteristics include the natural discolorations of the wood substance and color variations in glued up stock.

These natural characteristics are not considered defects by Seating Resource, and therefore merchandise will not be replaced.
